Qué pasó

The $1.6 billion Dangote refinery IPO drew orders of about 6.4 trillion naira ($4.77 billion), three times the amount on offer. Since April, Dangote has discussed with African exchanges how to open the offer to investors outside Nigeria. The shares are due to list on the Nigerian Exchange later in November.

Por qué te importa

Orders are demand, not money raised. They are still being checked, and some investors may get fewer shares than they asked for. The prospectus was not registered as a public offer outside Nigeria, and listing on several exchanges needs approval from each regulator.

Qué revisar y vigilar

Watch the allotment (documents to regulators on November 10, clearance targeted for November 17), the start of trading and any decision on depositary receipts. This is an overview, not financial advice.

Reuters report

What happened. Nigerian businessman Aliko Dangote has discussed with African stock exchanges how to open the IPO of his refinery to investors outside Nigeria. Reuters reported this on November 4, citing Edoh Kossi Amenounve, CEO of the Abidjan-based regional bourse BRVM. He said the talks began in April at Dangote's invitation. Agreement is hard: each country has its own listing rules.

The numbers. The offer is valued at $1.6 billion. The base offer is 4.1 billion ordinary shares at 525 naira each, about 2.15 trillion naira. Per Reuters, citing people with knowledge of the situation, demand from Nigerian retail and institutional investors was around 6.4 trillion naira ($4.77 billion). That is about three times the amount on offer. Business Insider Africa says the company may issue up to 30% more shares (an overallotment option), subject to regulatory approval.

Demand is not money raised. Applications are still being checked. If they exceed the shares on offer, some investors get fewer shares than they asked for, and excess funds are returned. The final amount depends on how many shares are allotted and whether the option is used. Under the indicative timetable, the allotment basis goes to regulators on November 10, with clearance targeted for November 17. The shares are due to start trading on the Nigerian Exchange later in November, but dates can change.

Why it is harder outside Nigeria. Business Insider Africa says the prospectus was not registered as a public offer outside the home market. Investors elsewhere must follow their own countries' rules or use a limited number of approved platforms. Companies that want to raise money in several African countries generally need separate approval from each securities regulator. Amenounve calls for harmonisation and mutual recognition of decisions. He says the technology for cross-border trading already exists: the African Exchanges Linkage Project. Regulatory barriers are the problem.

Depositary receipts. One option is Global Depositary Receipts (GDRs). These are instruments that represent a company's shares and trade on another exchange. An investor in another country could buy a locally traded receipt, and the company would not need a separate primary share issue there. Amenounve says this has been done in Kenya and Botswana. Business Insider Africa adds that the Nigerian Exchange is working with exchanges in Egypt, Kenya, Botswana and Ethiopia: some arrangements are done, others await regulatory clearance.

What the money is for. Per Business Insider Africa, the proceeds are meant to expand the refinery from about 700,000 to 1.4 million barrels a day.

What we do not know. How much the company will raise in the end. Whether the 30% option will be used. Which exchanges join and when. Whether receipts are chosen. How requests split by country: there is no independently verified breakdown.
