Qué pasó

On November 4 CVS Health said it will split into two independent, publicly traded companies. One gets Aetna, CVS Caremark and other health services. The other, CVS Pharmacy, gets about 9,000 drugstores. The target is the first half of 2028.

CVS shareholders will own shares in both companies. The company says customers will keep getting their medicine, care and benefits without interruption. The same day CVS reported third quarter revenue of $108.4 billion and raised its full-year outlook.

What happened. On November 4 CVS Health said it intends to separate into two independent, publicly traded companies. The decision follows a strategic review by its board of directors (CVS Health press release). The Financial Times reported the plan first, on Tuesday, CNBC says.

Who gets what. The first company will hold Aetna, CVS Caremark, CVS Specialty, Oak Street Health and Signify Health. For now it will be called CVS Health. The second will be named CVS Pharmacy: about 9,000 pharmacies, mail pharmacy, MinuteClinic (including virtual care) and the Health100 technology business. Caremark is a pharmacy benefit manager (PBM): it negotiates drug prices for insurers and employers.

Who leads. David Joyner, now Chairman and CEO of CVS Health, will lead the first company. Prem Shah, now Group President of CVS Health, will be CEO of CVS Pharmacy. Other leaders and board members will be named later.

Timing and structure. The separation is expected in the first half of 2028. It is meant to be tax-free to CVS Health and its shareholders for U.S. federal income tax purposes. It needs final approval from the board, an effective Form 10 registration statement with the U.S. Securities and Exchange Commission (SEC) and confirmation of the tax treatment. CVS shareholders will own shares in both companies. The company expects a solid investment grade rating for both, and dividends. The release states there is no assurance the split will happen, or on these terms.

Quarterly results. In a separate release CVS reported third quarter results. Revenue was $108.4 billion, up 5.4% from a year earlier. Adjusted EPS was $2.09, against $1.60. GAAP diluted EPS was $1.68, against a loss of $3.13 a year ago, when a $5.7 billion goodwill impairment hit. Full-year 2026 adjusted EPS guidance rose to at least $8.20 from a range of $7.90 to $8.10. CVS stays cautious because of elevated cost trends and possible macro headwinds.

Context. CNBC says the split would reverse the $78 billion Aetna deal of 2018. Shares have risen roughly 70% since Joyner took the helm in October 2024, and the company's market value is $117 billion. Leerink Partners analyst Michael Cherny called the news "a complete shock". He also suggested the reason could be to avoid state lawmakers' scrutiny of the company's vertical integration. That is his view, not the company's. PBMs now face criticism from both parties in Washington and from the states.

What we do not know. How the shares will behave, what financials and dividends each company will have, who will sit on the boards, and whether the timeline holds. This is an overview, not a forecast or advice.
