Qué pasó

From 4 January 2027, SGX Regulation (SGX RegCo), the regulator of the Singapore exchange, will take over prospectus review from the Monetary Authority of Singapore (MAS) for the Mainboard and the Global Listing Board. Issuers will file prospectuses and listing applications only with SGX RegCo, through its online portal. Until now, prospectuses went to MAS and applications to SGX RegCo.

Por qué te importa

One regulator instead of two means fewer sign-offs before an IPO. SGX RegCo expects to process complete applications in six to eight weeks. If you follow Singapore's market, it shows the city wants listing to be simpler.

Qué revisar y vigilar

Watch whether SGX RegCo meets six to eight weeks and how many companies apply after launch. MAS keeps the power to grant exemptions from prospectus disclosure rules and its oversight of SGX RegCo.

What changes. Today a company that wants to list in Singapore deals with two bodies. MAS reviews the prospectus, and SGX RegCo, the regulator within the SGX group, assesses suitability to list. From 4 January 2027, both documents go only to SGX RegCo. This covers applications for the Mainboard and the Global Listing Board (GLB).

Where the idea came from. The Equities Market Review Group, set up in August 2024, recommended merging the two reviews. MAS and SGX RegCo opened a consultation on 29 October 2025 and took comments until 29 November 2025. Media reports say law firms and issuer managers that took part in the consultation broadly supported the changes.

What MAS keeps. According to The Edge Singapore, MAS will keep overseeing how SGX RegCo carries out its duties and can still decide on exemptions from prospectus disclosure requirements under the Securities and Futures Act. MAS said in its 2025 release that it would still investigate breaches of prospectus disclosure requirements.

Timing and rules. SGX RegCo expects to process all complete listing applications within six to eight weeks. The SGX rulebook already lists a rule 610A that takes effect on 4 January 2027: the front page of a preliminary document must say that the prospectus is to be registered by SGX RegCo as an assistant of MAS. SGX RegCo will also stand down the Listings Advisory Committee.

How SGX RegCo explains it. SGX RegCo chief executive Tan Boon Gin said a disclosure-based approach lets market forces take the place of merit-based judgements by regulators. This is a news summary, not advice.
