ماذا حدث
On November 2 Oracle filed to sell $10 billion of new common stock and $10 billion of senior notes, a type of bond. That is $20 billion in all. CNBC reported that the shares sank 3% in premarket trading. Oracle says the money is for general corporate purposes, which may include capital spending and repaying debt.
لماذا يهمك
New shares mean more owners split the same company, so each older share is a slightly smaller slice. That is called dilution. The bonds add debt and interest to pay. If you hold Oracle, directly or through a fund, those are the trade-offs.
ماذا تتحقق منه وتراقبه
Watch for the final price and size once Oracle sets terms, and how ORCL trades after. The filings are preliminary, and neither deal depends on the other closing. This is an overview, not advice.

What happened. On November 2, 2026 Oracle filed two preliminary prospectus supplements with the U.S. Securities and Exchange Commission. One covers $10 billion of common stock. The other covers $10 billion of senior notes. CNBC calls it a $20 billion raise. Yahoo Finance, citing Investing.com, writes of a $10 billion stock offering alongside a $10 billion bond offering. The two figures do not clash. They are the two halves of one plan.
The bonds. The notes come in six series: a floating-rate note due 2029, and fixed-rate notes due 2029, 2031, 2033, 2037 and 2046. The interest rates and prices are still blank in the filing, so nobody knows the cost yet. Senior notes rank equally with Oracle's other unsecured debt. The stock ranks below the notes.
The stock. The filing lists the last reported sale price of ORCL on October 30 as $130.67. Oracle had 3,023,726,695 shares outstanding on August 31, 2026. At $130.67, $10 billion would be about 76.5 million new shares, or roughly 2.5% of that count. That is our own arithmetic. The real number depends on the price Oracle gets.
What the money is for. Oracle says the proceeds go to general corporate purposes. The stock filing says that may include capital expenditures, repayment of debt, future investments or acquisitions, and cash dividends or share buybacks. CNBC says the plan was already outlined at Oracle's investor day last week, and that the shares are down 33% in 2026 and 50% over the past 12 months. Yahoo Finance notes that the broker Stephens upgraded Oracle to Overweight earlier, so views on the company are mixed.
Why it matters beyond Oracle. CNBC says investors are increasingly worried about the debt taken on to fund AI infrastructure. Our earlier piece on neoclouds explains why debt-funded AI building worries some investors. For the wider market view, see our US stocks page.
What is not known. The final price, the interest rates and the number of shares. Whether both deals will close. Oracle says it cannot assure that they will. Exactly how much of the money goes to data centres. This is an overview, not advice.
