What happened
On 26 October Anthropic publicly filed its S-1, the document a US company files with the SEC before an initial public offering (IPO). It plans to list Class A shares on Nasdaq under the ticker ANT. The share count and price range are still blank.
Why it matters to you
Revenue for the first half of 2026 was $16.3 billion, against $4.6 billion for all of 2025. Net loss was $80.7 billion, but most of it is an accounting charge from revaluing convertible notes and similar instruments ($72.4 billion). Operating loss was $693 million.
What to check and watch
Watch for an amended filing with the price range and share count, then the pricing date. This is not advice to buy or sell.
What was filed. An S-1 is a registration statement with the US Securities and Exchange Commission (SEC). A company files it before its first public share sale, an initial public offering (IPO). Anthropic, PBC plans to sell Class A common stock, and some current shareholders will sell too. Anthropic gets no money from their sales. The filing is not final: price, share count and offering date are blank. The company applied to list on the Nasdaq Global Select Market under the ticker ANT. The BBC reports that Anthropic announced its plan to go public in June.
The money. Revenue for the six months to 30 June 2026 was $16.3 billion. The same six months of 2025 brought $1.2 billion, and all of 2025 brought $4.6 billion. Compute and infrastructure costs were $8.9 billion for the half year and $7.3 billion for all of 2025. Operating loss for the half year was $693 million.
Where the $80.7 billion loss comes from. Mostly from one line: the change in fair value of convertible notes, derivative liabilities and SAFEs, which is $72.4 billion. In plain words, investor instruments were revalued at the company's new valuation. Yahoo Finance also says the vast majority of the loss is accounting charges. Net loss for 2025 was about $42 billion.
Who pays. According to Yahoo Finance, roughly one fifth of revenue came from two customers, and the rest from a small handful of clients. The company also plans to spend more than $430 billion on locked-in cloud computing deals with Amazon, Google and others. With cancellable and smaller deals, the total reaches as much as $637 billion. How it is governed. Anthropic is a Delaware public benefit corporation (PBC). Its Long-Term Benefit Trust holds a special Class T stock and can elect a majority of the board. That makes it a controlled company under Nasdaq rules, so it may skip some of the exchange's governance requirements.
What the media say. The BBC says this will likely be the largest stock market debut in history and compares expected valuation with SpaceX, which listed this summer at about $1.8 trillion. The BBC adds that OpenAI is expected to list early next year, according to a person familiar with its plans. These are media statements, not S-1 data.
